What are contract attachments?

Contract attachments are the additional documents attached to a contract, such as exhibits, schedules and appendices, that hold its supporting detail.

Common types

  • Exhibits. Detailed specifications, diagrams or drawings, such as wireframes for a software project.
  • Schedules. Timelines, milestones, deliverables or pricing, such as a construction program.
  • Appendices. Supporting information such as technical data, definitions or policies.
  • Statements of work. The scope, deliverables and acceptance criteria for a piece of work.
  • Addendums. Later additions that change or add to the terms.

Why they matter

Attachments often carry the terms that matter most day to day: prices, service levels, delivery dates and specifications. If they are filed separately from the main agreement, or the wrong version is attached, people work from incomplete terms and disputes follow.

Good practice

Reference every attachment by name in the main agreement, say which document wins if they conflict, keep attachments with the contract they belong to and track their versions as carefully as the main text.

What is the difference between an exhibit and a schedule?
