People still make the calls. SM **Sonal Mehta**Sep 03, 2021 ยท 4 min read Inefficient contracting is expensive. [Harvard Business Review](https://hbr.org/2018/02/how-ai-is-changing-contracts) reported that poor contracting can cost firms between 5 and 40 percent of the value of a given deal. The causes are familiar: too many contracts for people to read closely, terms that are hard to find, slow negotiation and approvals, and obligations nobody tracks. When this post first appeared in 2021, AI in contract lifecycle management mostly meant extracting data. In 2026 it reads, compares, drafts and routes across the whole lifecycle, while people make the decisions. Here are five places it adds the most value. Key takeaways - AI helps assemble contracts from the right clauses for each contract type - It shortens negotiation by flagging deviations and proposing approved fallbacks - It lowers risk by classifying clauses and comparing versions - It sets the right approval path from the content of each contract - It cuts cost by surfacing obligations, renewals and penalties on time ## 1. Smarter contract creation People can only read so much in one sitting. AI can work through thousands of documents and recognize patterns quickly, which makes it easier to choose the right clauses for a given contract type, counterparty and risk level. Instead of combing through old supplier documents to build a new agreement, a drafter starts from an approved template and the AI suggests clauses from the [clause library](https://aavenir.com/glossary/contract-clause-library/) that fit the situation. It learns from past contracts, so its suggestions improve with use. The drafter accepts or changes each one. See [contract authoring](https://aavenir.com/solutions/contract-authoring/). ## 2. Faster, better informed negotiation Negotiation often drags on for weeks of back and forth, much of it routine document review. AI shortens that by reading the counterparty's markup, comparing every clause with your playbook and highlighting only the changes that matter. It can also propose fallback language that legal approved in advance, and show where a proposed term sits outside the limits you set. Negotiators spend their time on the real issues, and the outcome stays within policy. In [Contractflow](https://aavenir.com/solutions/enterprise-contract-management-software/), Aavenir AI drafts the suggestions and the negotiator decides. Regulations change, and a clause that was acceptable last year may not be today. AI uses language understanding to classify clauses, spot risky or missing terms and compare versions, so reviewers see exactly what changed between drafts. Every action is recorded, and only the latest approved version goes to signature. When a rule changes, AI can search the whole portfolio for contracts affected by it. | Risk | What AI does | Who decides | | Non standard clause | Flags it against the playbook | Legal reviewer | | --- | --- | --- | | Missing required term | Notes the gap and suggests the clause | Contract owner | | Version confusion | Shows changes between drafts | Negotiator | | New regulation | Finds every affected contract | Compliance team | ## 4. Approvals that route themselves Collecting sign off from finance, procurement and legal is slow without the right tools, and contract variations often need extra approvals that the standard workflow misses. AI reads the content of each contract, such as value, liability terms, data processing or a non standard payment term, and adds the right approvers to the workflow automatically. It can also tag contracts by the regulations and quality requirements they carry, so obligation tracking starts correctly after signature. Lower cost across the lifecycle Organizations lose money when contract obligations are hidden or unclear: renewals roll over on old terms, service credits go unclaimed and penalties are not enforced. The risk grows when teams work across many locations and nobody has the full picture. AI reads every executed contract, lists obligations, renewal dates and penalty terms, and sends alerts to named owners in time to act. It can also check invoices against contract prices before payment. The result is fewer disputes, lower administrative cost and more of the negotiated value actually realized. Read about [contract obligation tracking](https://aavenir.com/use-cases/contract-obligation-tracking/). ## What should AI in contracts not do? AI should not accept risk on your behalf, sign anything or change a contract without a person seeing it. The safe pattern is simple: AI reads, compares and drafts, then a named person approves the result, and both are logged. - **Escalation by design:**decisions above thresholds you set always go to a person - **A complete audit trail:**every AI suggestion and human decision is recorded - **Inherited permissions:**AI sees only what the user it works for can see - **No training on your data:**customer contracts are not used to train external models In Aavenir, [Avy](https://aavenir.com/platform/avy-ai-assistant/) follows that pattern in every app, natively on ServiceNow or standalone. ## How do you start with AI in contract management? Pick one stage where volume is high and rules are clear, such as first pass review of supplier paper or obligation extraction from signed contracts. Write down the playbook or categories the AI will work against, set the thresholds that send work to a person, and measure review time and missed dates against your current baseline. Expand to the next stage only when your own numbers support it. The value lasts when AI does the reading and people keep the decisions. ### In this article - 1. Smarter contract creation - 2. Faster, better informed negotiation - 3. Lower contract risk - 4. AI suggests clauses during drafting, compares counterparty markups with your playbook, classifies risky terms, sets approval paths from contract content and extracts obligations and renewal dates after signature. A person approves each result. See [Avy](https://aavenir.com/platform/avy-ai-assistant/). ### ### Can AI negotiate contracts on its own? It should not. AI can flag deviations, explain their risk and propose fallback language your legal team approved in advance, which speeds negotiation. The negotiator decides what to accept, and anything above set thresholds goes to legal. Read about [contract redlining](https://aavenir.com/solutions/contract-redlining-software/). ### ### Is it safe to use AI on confidential contracts? It can be, if the AI inherits user permissions, logs every action, escalates at thresholds you set and does not use your contracts to train external models. Aavenir meets all four, with SOC 2 Type II and ISO 27001:2022 certification. Read about [security](https://aavenir.com/security/). Have a question we have not answered?
